PHDCCI Hosts Workshop on SEBI (LODR) & Prohibition of Insider Trading Regulations: Latest Amendments, Issues & ClarificationsThe Corporate Affairs Committee of PHDCCI organized a Workshop on SEBI (LODR) & Prohibition of Insider Trading Regulations: Latest Amendments, Issues & Clarifications on 1st June 2023 at PHD House, New Delhi.

Mr. P K Rustagi, Chair of the Corporate Affairs Committee, welcomed the speakers and delegates present at the event. While giving his Opening Address, he highlighted that the SEBI LODR establishes stringent mandates for listed companies, necessitating the timely and accurate disclosure of information to investors and the Prohibition of Insider Trading Regulations acts as a bulwark against unfair practices and market manipulation. This regulation prohibits insiders from engaging in trading activities based on non-public information that may influence the value of securities.

Mr Sameet Gambhir, Co-Chair, Corporate Affairs Committee gave the Theme Address and stressed the fact that to ensure compliance. It is imperative that companies implement robust internal controls and monitoring mechanisms. Promoting a culture of compliance is crucial, wherein every employee comprehends their responsibilities and upholds the highest standards of integrity. Also, by promoting awareness among stakeholders, we can ensure compliance, enhance investor trust and maintain a level playing field in the ever-evolving landscape of the capital market.

The Workshop had 2 Panel Sessions. The first session was on SEBI (LODR): Critical Analysis of Important Provisions. The Session was moderated by Mr. Vishal Narula, Managing Director, Alvarez & Marsal. The other panelists were Mr. Partho Dasgupta, Partner, BDO India; Mr. Parvesh Kheterpal, Head Legal & CS, Feedback Infra and Mr. Vikas Goyal, Sr Manager & Asst Company Secretary, NTPC Ltd.

The second session was on Insider Trading: Latest Amendments, Challenges & Impacts. The Moderator of this session was Ms. Meenakshi Sharma, Technical Director – Capital Markets, KPMG Assurance, and Consulting Services LLP. The other panelists were Mr. Rohit Dhingra, Managing Director, Risk Advisory and Investigations, FTI Consulting, and Mr. Sumant Nayak, Sr. Partner, Desai & Dewanji.

Mr Mohit Luthra, Asst Secretary General, PHDCCI gave the formal vote of thanks and concluding remarks and thanked the sponsors for their support.
